Please read these Terms carefully. By creating an account, accessing, or using the MultiSigner service, you agree to be bound by these Terms and Conditions, by our End User Licence Agreement (EULA), by our Refund Policy, and by our Privacy Policy. If you do not agree, do not access or use the Service.
1. Agreement to Terms
These Terms and Conditions (the "Terms") constitute a legally binding agreement between you ("you" or "User") and SparkRelay Tech Services ("Company," "we," "us," or "our"), with registered address at 2000 Hogback Rd, Suite 6, Ann Arbor, MI 48105-9735, USA, governing your access to and use of the MultiSigner electronic document signing platform (the "Service").
If you access or use the Service on behalf of a company, organization, or other legal entity, you represent and warrant that you have authority to bind that entity to these Terms. In that case, "you" refers to both you individually and that entity.
2. Description of the Service
MultiSigner is a multi-tenant software-as-a-service (SaaS) platform that allows registered users to apply electronic signatures to PDF documents using their own digital certificate in PKCS#12 (.p12/.pfx) format, following the PAdES (PDF Advanced Electronic Signatures) standard. The Service may also:
render a graphic signature (a QR code and a text phrase) at a position selected by the user;
confirm signing operations by means of a one-time password (OTP) sent to the user's registered email address;
package signed documents into a single ZIP file that remains available for a limited retention period;
apply an optional RFC 3161 time-stamp to signatures where a Time Stamping Authority (TSA) is configured;
operate signature flows, in which an account holder invites third-party signers to sign documents in sequence through a tokenized link, with OTP verification, mandatory reading acceptance, acceptance video, and traceability;
operate on a prepaid "credit" model in which each successfully signed document consumes one (1) credit, with credits purchased through one of the payment options made available at checkout (see Section 6).
The Company may modify, add, or discontinue features of the Service from time to time, in its sole discretion.
3. Eligibility and Accounts
You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Service.
You must provide accurate, current, and complete information when registering (including your email address, name, country, city, address, and phone number) and keep that information updated.
Your email address serves as your unique username. You are solely responsible for maintaining the confidentiality of your password and for all activity occurring under your account.
You must notify us immediately of any unauthorized access to or use of your account.
Each self-service registration creates an independent account. The Company may also create and manage accounts on behalf of customers.
4. Digital Certificates and Electronic Signatures
Your certificate, your responsibility. You are solely responsible for obtaining, maintaining, and protecting your own digital certificate (.p12/.pfx) and its password, and for ensuring that you are lawfully authorized to use it to sign each document. The Service does not issue certificates and does not act as a Certification Authority or Trust Service Provider.
Transient processing. Your certificate file and its password are processed only transiently to perform the requested signing. They are held encrypted (AES-256-GCM) for the duration of the active signing job and are automatically and permanently deleted when the job ends. They are never stored permanently.
No guarantee of legal effect. The Service applies the PAdES electronic signature format and, where configured, an RFC 3161 time-stamp. However, the Company does not warrant or guarantee that any signature will have a particular legal effect, validity, enforceability, or admissibility in any jurisdiction. Such matters depend on applicable law and on the trustworthiness and authority of your certificate. You are solely responsible for determining whether a resulting signed document meets your legal or regulatory requirements.
5. Responsibility for Signed Content
The Service is a technical signing tool and nothing more. The Company does not review, verify, validate, approve, correct, filter, or monitor the content of any document that is uploaded, sent, signed, or stored through the Service, and the Company has no knowledge of and takes no position on the content, accuracy, truthfulness, legality, completeness, or commercial or legal effect of any such document.
Each signer is solely responsible for what they sign. Deciding what to sign, and accepting the legal consequences of signing it, is entirely and exclusively the responsibility of the individual who signs. By applying a signature through the Service, the signer represents and warrants that:
they have read and understood the document in full before signing it;
they have the legal capacity and authority to sign it, whether on their own behalf or on behalf of another person or entity;
they are lawfully authorized to use the digital certificate used to sign;
the content they sign is accurate, lawful, and does not infringe the rights of any third party; and
signing it does not breach any law, regulation, contract, or duty applicable to them.
No responsibility of the Company for signed content. To the maximum extent permitted by applicable law, the Company accepts no responsibility or liability whatsoever for: (a) the content of any document signed through the Service; (b) any act, omission, decision, transaction, filing, obligation, or legal consequence arising from a document that was signed; (c) any loss, damage, cost, or claim suffered by any person as a result of relying on a signed document; or (d) any signature applied without proper authority, or by any person who misrepresented their identity, capacity, or authority. Responsibility for all such matters rests solely with the signer and, where applicable, with the account holder who arranged the signing.
6. Credits, Fees, and Payment
Credit consumption. Each successfully signed document consumes one (1) credit. In signature flows, one (1) credit is consumed for each signature actually applied (that is, each signer multiplied by each document that signer signs), charged to the account of the flow's creator. Credits are deducted only for documents and signatures actually completed.
Prepaid credits. Credits are prepaid and purchased in fixed-price packages denominated in U.S. dollars (USD). Prices and available packages may change from time to time.
Payment options. Purchases of credits are completed through one of the payment options made available to you at checkout. Depending on the configuration in force at the time of your purchase and on the option you select, your payment may be processed by:
Fungies (Fungies Inc., 2100 Geng Road, Suite 210, Palo Alto, California 94303, United States, or Fungies Europe PSA, Al. Jerozolimskie 109 / 70, 02-011 Warsaw, Poland), acting as Merchant of Record. In that case Fungies is the legal seller of record for the transaction, and is responsible for taking the payment, issuing your confirmation, receipt, and invoice, and calculating and collecting applicable taxes;
Stripe (Stripe, Inc.), acting solely as a payment processor. In that case the Company is the seller of record for the transaction; or
PayPal (PayPal Group), acting solely as a payment processor. In that case the Company is the seller of record for the transaction.
The provider that processed your payment is identified on the confirmation, receipt, or invoice you receive. By purchasing credits you agree to be bound by the terms of service and privacy policy of the provider used. The Company does not store full payment card details; payment data is collected and processed by the applicable provider.
Refunds. Refunds are governed by our Refund Policy, which forms part of these Terms and is presented to you before purchase. In summary: unused credits are refundable on request within thirty (30) days of the purchase date; consumed credits are not refundable, except where the failure was ours, in which case the affected credits are restored to your account. Refunds are returned to the original payment method. Nothing in the Refund Policy limits any refund, cancellation, or withdrawal right you have under mandatory consumer-protection law.
No cash value and non-transferable. Credits are a limited licence unit for use within the Service. They have no cash value, are not legal tender, are not redeemable for cash, and may not be transferred between accounts except as permitted by the Company.
Chargebacks. Please contact us or the payment provider that processed your payment before starting a chargeback with your bank, as a refund is normally faster. Chargebacks or payment disputes may result in suspension or termination of your account, and in the removal of the disputed credits while the dispute is investigated.
Taxes. Where a Merchant of Record is used, that entity calculates, collects, and remits applicable taxes. Otherwise, you are responsible for any applicable taxes, duties, or fees associated with your use of the Service.
7. Acceptable Use and Prohibited Conduct
You agree that you will not, and will not permit any third party to:
use the Service to sign or transmit content that is unlawful, fraudulent, defamatory, infringing, or that violates the rights of any person;
sign documents on behalf of another person or entity without proper authorization, or misrepresent the identity or authority of the signer;
forge, tamper with, or falsify any document, signature, certificate, date, or record, or attempt to defeat the evidentiary purpose of the Service;
attempt to gain unauthorized access to the Service, other users' accounts, or our systems, or probe, scan, or test the vulnerability of the Service;
introduce malware, viruses, or other harmful code, or interfere with, disrupt, or overload the Service or its infrastructure;
reverse engineer, decompile, or disassemble the Service or any software provided with it, except as expressly permitted by law;
resell, sublicense, rent, or commercially exploit the Service or access to it;
use automated means (bots, scrapers) to access the Service in a manner that imposes an unreasonable load;
use the Service in violation of any applicable law or regulation, including those governing electronic signatures, data protection, and export controls.
The Company may investigate violations and may remove content, suspend accounts, and cooperate with law enforcement as appropriate.
8. User Documents, Storage and Retention
Ownership. You retain all rights, title, and interest in the documents you upload. The Company claims no ownership over your content.
Limited license. By uploading documents, you grant the Company a limited, non-exclusive, revocable license to store, process, and modify those documents solely to the extent necessary to provide the Service (including applying signatures, packaging files, and temporary storage).
No permanent or archival storage. The Company does not provide definitive, permanent, or archival storage of documents. The Service is a processing and delivery tool, not a backup, archive, or records-management service. You must not rely on the Service as the only or principal location of any document.
Limited and variable retention. Uploaded and signed documents, including signed ZIP packages, remain available for download only for a limited retention period determined by the Company at its sole discretion. That period may be changed, reduced, or extended by the Company from time to time, and may differ between features, plans, or delivery channels. It is published in the Service and is currently thirty (30) days for signed ZIP packages. In no case is retention indefinite or permanent. Once the applicable period expires, the files are automatically and permanently deleted and cannot be recovered.
Your responsibility to download. The retention period is set to give you sufficient time to download and securely store your documents. You are solely responsible for downloading your signed documents within that period and for keeping your own secure copies. The Company has no obligation to notify you before deletion, has no obligation to restore deleted files, and accepts no responsibility or liability for any document that you failed to download in time.
Confidentiality of content. The Company does not use your documents for purposes unrelated to providing the Service, and does not publicly expose them.
9. Privacy and Data Processing
Your use of the Service is subject to our Privacy Policy, which is incorporated into these Terms by reference. By registering and using the Service, you acknowledge and agree that the Company will store and process the personal data you provide solely for the purposes of operating, administering, and delivering the Service, and that such data will not be publicly exposed or transferred outside the Company except as described in the Privacy Policy (limited service providers, legal obligations, or with your authorization).
Where you use signature flows, you act as the data controller for the personal data of your signers and the Company acts as your processor under our Data Processing Agreement. This includes the acceptance video (which records the signer's face and voice) and the signer's IP address, device information, and geolocation. You are solely responsible for having a lawful basis for that processing and for providing any required notices and obtaining any required consents from your signers.
You require the evidence; the Company only provides the method. The acceptance video, the reading-acceptance records, and the traceability data (IP address, IP-derived geolocation, and device data) are collected because you, as the flow's creator, require them as evidence of your signers' acceptance of the documents. The Company does not require, need, or use that evidence for its own purposes and, in relation to it, acts solely as the technical tool that provides the method of collecting and temporarily holding the evidence on your behalf. The evidence and the signed documents belong to you and are controlled by you, not by the Company.
Your duty to safeguard the evidence. You are solely responsible for retrieving, safely storing, and protecting that evidence once you download it, meaning the acceptance videos, the traceability records, and the signed documents, and for keeping it secure and confidential and available for as long as you need it for your own legal, evidentiary, or compliance purposes. The Company is not the custodian or archivist of your evidence, does not provide archival storage, and accepts no responsibility for its safekeeping after you download it, nor for any evidence you failed to download before it was deleted.
Deletion after a reasonable retention period. The signed documents and the evidence are automatically and permanently deleted after a reasonable, limited retention period (currently thirty (30) days), which is set to give you sufficient time to download them. Retention is never indefinite or permanent. Once deleted they cannot be recovered. See Section 8.
Who can access them during the retention period. While a flow's documents and evidence are retained, access to them is restricted and confined to the flow's creator:
You, and only you, among customers. As the authenticated account holder who created the flow, you have full access to that flow's documents, signed documents, acceptance videos, and traceability records. Access is scoped to your own account: no other customer, and no user of any other account, can see, list, or download them.
Your invited signers. A signer can access only the specific documents they must read and sign, only through their own single-use tokenized link, and only for the duration of their own step. That access ends automatically when they sign, because the link is invalidated and cannot be reused.
The Company's system administrators. For strictly limited operational purposes only, namely platform administration, support you have requested, security and abuse investigation, compliance with a legal obligation, or executing a deletion you have requested, the Company's designated administrators may access a flow. Such access requires administrator authentication and is subject to the security measures described in our Encryption and Access Control document.
No one else. The Company does not publish, share, sell, or otherwise disclose your flow documents or evidence to any other party. There is no public listing, no public URL, and no directory of flows. When the retention period ends, the documents and the evidence are deleted and that access ends with them.
10. Intellectual Property
The Service and all of its content, features, and functionality (including software, interfaces, graphics, text, logos, and trademarks) are owned by the Company or its licensors and are protected by intellectual property laws. Subject to your compliance with these Terms, the Company grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for its intended purpose. No other rights are granted.
11. Third-Party Services
The Service integrates with third-party services. These may include, depending on configuration: a payment provider acting as Merchant of Record (currently Fungies), direct payment processors (currently Stripe and PayPal), an email/SMTP provider (delivery of OTP codes, invitations, and notifications), a Time Stamping Authority (RFC 3161 time-stamps) where configured, and third-party IP geolocation services used for the traceability of signature flows.
Use of such third-party services is subject to their own terms and privacy policies, and the provider that processed your payment is identified on your receipt or invoice. The Company is not responsible for the acts or omissions of third-party providers, and you acknowledge that such providers may process limited data strictly as necessary to deliver those functions.
12. Suspension and Termination
The Company may suspend or terminate your access to the Service, in whole or in part, at any time, with or without notice, if it reasonably believes you have violated these Terms, if required by law, or to protect the security or integrity of the Service. You may stop using the Service at any time. Upon termination, your right to access and use the Service will cease immediately. Prepaid credits may be forfeited upon termination for cause, except as otherwise required by applicable law. Provisions that by their nature should survive termination (including Sections 4, 5, 6, 8, 10, 13, 14, 15, 18, and 19) will survive.
13. Disclaimers of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND TITLE. WITHOUT LIMITING THE FOREGOING, THE COMPANY DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, THAT DEFECTS WILL BE CORRECTED, THAT ANY DOCUMENT WILL REMAIN AVAILABLE FOR ANY PARTICULAR PERIOD, OR THAT ANY SIGNATURE WILL BE LEGALLY VALID, ENFORCEABLE, OR RECOGNIZED IN ANY JURISDICTION.
14. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL THE COMPANY OR ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, DOCUMENTS, GOODWILL, OR BUSINESS, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
WITHOUT LIMITING THE FOREGOING, THE COMPANY SHALL HAVE NO LIABILITY WHATSOEVER FOR (A) THE CONTENT OF ANY DOCUMENT SIGNED THROUGH THE SERVICE, OR FOR ANY CONSEQUENCE OF SIGNING IT; (B) ANY DOCUMENT DELETED IN ACCORDANCE WITH THE RETENTION PERIOD DESCRIBED IN SECTION 8, OR ANY DOCUMENT A USER FAILED TO DOWNLOAD; (C) ANY SIGNATURE APPLIED WITHOUT PROPER AUTHORITY; OR (D) THE ACTS OR OMISSIONS OF ANY THIRD-PARTY PROVIDER, INCLUDING ANY PAYMENT PROVIDER OR MERCHANT OF RECORD.
NOTWITHSTANDING ANYTHING TO THE CONTRARY, THE COMPANY'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU ACTUALLY PAID TO THE COMPANY FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (US $100). SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO THE ABOVE LIMITATIONS SHALL APPLY TO THE MAXIMUM EXTENT PERMITTED BY LAW.
15. Indemnification
You agree to indemnify, defend, and hold harmless the Company and its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) your documents or content, and any document you sign or send for signing; (c) your violation of these Terms; (d) your violation of any third-party right; (e) your misuse of a digital certificate or your unauthorized signing of any document; or (f) where you use signature flows, any claim brought by a signer in relation to the documents you sent, the acceptance video, or the personal data you processed.
16. No Legal or Professional Advice
The Service is a technical tool only. Nothing made available through the Service constitutes legal, financial, tax, or other professional advice. You are solely responsible for ensuring that your use of the Service and the documents you sign comply with all laws and regulations applicable to you, including those governing electronic signatures and data protection.
17. Modifications
The Company may modify these Terms from time to time. Material changes will be communicated by reasonable notice (such as posting the updated Terms in the Service or sending an email). The updated Terms will take effect as of the stated "Last updated" date. Your continued use of the Service after the effective date constitutes your acceptance of the revised Terms.
18. Governing Law and Jurisdiction
These Terms and any dispute arising out of or relating to them shall be governed by and construed in accordance with the laws of the State of Michigan, United States of America, without regard to its conflict-of-law principles. Subject to Section 19, the parties irrevocably submit to the exclusive jurisdiction of the state and federal courts located in Washtenaw County, Michigan, for any matter not subject to arbitration.
19. Dispute Resolution and Arbitration
Informal resolution. Before filing any formal claim, you agree to contact us and attempt to resolve any dispute informally for at least sixty (60) days.
Binding arbitration. Any dispute not resolved informally shall be resolved by final and binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, held in Washtenaw County, Michigan. The arbitrator's award shall be final and may be entered in any court of competent jurisdiction.
Class action waiver. You and the Company each agree to bring claims only in your or its individual capacity, and not as a plaintiff or class member in any purported class, collective, consolidated, or representative proceeding. You and the Company each waive the right to a jury trial. This waiver may not be enforceable in some jurisdictions; where unenforceable, the applicable dispute shall proceed in court.
Small claims exception. Either party may seek relief in small claims court for disputes within that court's jurisdiction.
20. General Provisions
Severability. If any provision of these Terms is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.
No waiver. The failure to enforce any provision shall not constitute a waiver of the right to enforce it later.
Assignment. The Company may assign these Terms or its rights without notice. You may not assign or transfer your account or these Terms without our prior written consent.
Force majeure. The Company shall not be liable for any failure or delay caused by events beyond its reasonable control.
Survival. Provisions that by their nature should survive termination will survive.
